Clarification of News Release #NR05-07 'Hatch Limited Completes Willa Mine Development & Operating Plan'
April 22, 2005

Vancouver, BC – John A. Chapman, P.Eng., reports that the Company has received comment on its News Release dated April 21, 2005 from Market Regulation Services Inc. (RS). RS’ concerns were as follows:

  1. The Company was required to prefile this news release pursuant to Exchange Policy 3.3 section 4.1.

  2. The Company cautions the reader "that disclosure made in the above table may not conform to National Instrument 43-101 "Standards of Disclosure for Mineral Projects", however management considers this disclosure material." This statement does not relieve the Company of the obligation to ensure that its disclosure complies with NI 43-101. The Company is required to ensure that its disclosure complies with Exchange requirements and securities laws before it is issued.

  3. Adding inferred resource to other categories is prohibited in NI 43-101.

  4. The Company must report in the press release the QP responsible for preparing the technical information contained in the news release.

  5. The Company must prepare a new release that addresses the above issues, and prefile it with RS for comment by noon on April 22, 2005.

The Company responds to each of the above concerns as follows:

  1. The Company is aware of section 4.1 of Exchange Policy 3.3, and agrees that an error was made in not prefiling the News Release with RS. In future, the Company will ensure that all disclosure that refers to mineral reserves/resources is prefiled with RS.;

  2. The Company was concerned with a timely announcement of receipt of, and conclusions of, the Hatch Report (a significant component of the upcoming feasibility study on the Willa project). The intent of the News Release was to make readers aware of this milestone – the caution was intended to prevent readers from relying on the summary information contained to draw any conclusions regarding the viability of the Willa project in the absence of a full technical report. In hindsight, this was not necessarily correct or helpful. In future, the Company will ensure that disclosure is made in compliance with all regulations and policies;

  3. The Company erred in not presenting previously-released data in an acceptable format. The breakdown of mineral resources at the Willa is as follows (source: 2005 Addendum to the NI 43-101, 2003 Preliminary Technical Assessment Report, Geospectrum Engineering; D. Makepeace M.Eng., P.Eng., author):

  4. Mr. John A. Chapman, P.Eng, FCIM, is a Director of the Company and is the Company’s Qualified Person in charge of the Willa project, and is responsible for the content of the News Release. In the News Release, the mineral resource estimate was attributed to Geospectrum Engineering; the Principal of Geospectrum Engineering is Mr. David Makepeace, M.Eng., P.Eng. Mr. Makepeace was not involved in the preparation of the News Release; and,

  5. The Company has prepared this News Release to correct the items noted by RS.

Further to our response to point 3, above, the Company has conducted an internal review of its technical disclosure and has concluded that the 2005 Addendum to the 2003 Preliminary Assessment Technical Report is not in compliance with NI 43-101, as it is not a “Technical Report” (as defined). The Company has engaged Mr. Makepeace to provide a complete update to the 2003 Preliminary Assessment Technical Report on the Willa property to NI 43-101 standards as soon as possible. Following acceptance by regulatory authorities, this report will be made public.

In addition, our internal review has not concluded that excerpts from the Hatch Report included in the News Release meets minimum standards for disclosure. Until such time as the Hatch Report is included by reference into a report to NI 43-101 standards, the Company will not make reference to the Hatch Report, or to any data contained therein.

John A. Chapman, P.Eng, a Director of the Company, is the author of this News Release and is the Company’s Qualified Person in charge of the Willa project.
